    1. Agreement to Terms

    By accessing or using AlgoSmiths' services, including AlgoSmiths Talent (algosmiths.com/talent), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

    2. Services

    AlgoSmiths provides software development services including but not limited to:

    • Web application development
    • Mobile application development
    • Backend and API development
    • AI/ML integration and data solutions
    • SaaS product development
    • Legacy system migration
    • Consulting and technical advisory services

    AlgoSmiths Talent Services

    AlgoSmiths Talent provides engineering-capacity and recruitment services, including dedicated engineer teams, fractional technology leadership, candidate screening and evaluation, hiring services, and India employer-of-record support. The specific scope, term and fees for each engagement are set out in a separate written agreement.

    • Candidates: candidates submitting resumes and applications acknowledge that their information will be shared with potential employers and used for recruitment purposes. You warrant that all information provided is accurate and up-to-date.
    • Employers and clients: employers using our services agree to comply with all applicable employment laws and regulations. Job postings must be accurate, non-discriminatory, and represent genuine employment opportunities.
    • Fees: recruitment and placement fees are agreed separately with each client, and payment terms are outlined in individual service agreements. All fees are non-refundable unless otherwise specified in writing.
    • Role as intermediary: where we act as an intermediary between candidates and employers, we do not guarantee placement, employment outcomes, or the suitability of any candidate or employer. Our liability is limited to the fees paid for our services.

    3. Project Engagement

    3.1 Scope of Work

    The scope of work for each project will be defined in a separate Statement of Work (SOW) or project agreement. Changes to the scope may require additional fees and timeline adjustments.

    3.2 Client Responsibilities

    Clients are responsible for providing timely feedback, necessary access to systems, and required materials. Delays in client response may impact project timelines.

    3.3 Timelines

    Project timelines are estimates and may be subject to change based on project complexity, scope changes, and client feedback cycles.

    4. Payment Terms

    4.1 Fees

    Fees for services will be specified in the project agreement. Unless otherwise stated, all fees are in USD or INR as agreed upon.

    4.2 Payment Schedule

    Payment terms will be outlined in the project agreement. Typical payment structures include milestone-based payments or monthly retainers.

    4.3 Late Payments

    Late payments may result in suspension of services until payment is received. We reserve the right to charge interest on overdue amounts.

    5. Intellectual Property

    5.1 Client IP

    Upon full payment, clients receive ownership of custom code and designs created specifically for their project, unless otherwise specified in the project agreement.

    5.2 AlgoSmiths IP

    AlgoSmiths retains ownership of our proprietary tools, frameworks, methodologies, and any pre-existing intellectual property used in delivering services.

    5.3 Third-Party Components

    Projects may include open-source or third-party components subject to their respective licenses. Clients are responsible for compliance with such licenses.

    6. Confidentiality

    Both parties agree to maintain confidentiality of proprietary information shared during the course of the engagement. We may require a separate Non-Disclosure Agreement (NDA) for sensitive projects.

    7. Warranties and Disclaimers

    7.1 Service Warranty

    We warrant that services will be performed in a professional and workmanlike manner. We will correct any defects in our work at no additional charge during the warranty period specified in the project agreement.

    7.2 Disclaimer

    Except as expressly stated, services are provided "as is" without warranties of any kind. We do not guarantee that deliverables will be error-free or meet all business objectives.

    8. Limitation of Liability

    To the maximum extent permitted by law, AlgoSmiths shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the fees paid for the specific project.

    9. Termination

    Either party may terminate the engagement with written notice as specified in the project agreement. Upon termination, the client shall pay for all work completed up to the termination date.

    10. Governing Law

    These terms shall be governed by the laws of India. Any disputes shall be resolved through arbitration in New Delhi, India.

    11. Changes to Terms

    We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
